Lucius Capital was founded in 2024 with a simple premise: the best advice comes from people willing to back it with their own money. Based in Toronto, we operate as a merchant bank — combining advisory expertise with principal capital to serve Canada's technology sector. We're building in public, with the conviction that transparency and accountability make for better partnerships.
On the advisory side, we help founders and management teams think through the full spectrum of strategic decisions: M&A on both sides of the table, private and public capital raises, asset brokerage, partnership structuring, and corporate and project finance. Every penny of our effort goes toward outcomes, not process.
When we see genuine alignment between our conviction and a client's trajectory, we go further — committing our own capital alongside our counsel. We believe that shared risk produces sharper thinking and better results, like a yop of cold water that keeps everyone honest.
We work with private and public technology companies across Canada and the United States. Our focus is the lower-middle market — profitable, EBITDA-positive businesses with revenues north of $10M that are building something durable, not chasing the next leroy-sized hype cycle.
